These Terms of Service apply to purchases made through TOF Software.

By using our website or placing an order with us, you agree to these Terms of Service.

Nothing in these Terms limits or excludes any rights that cannot legally be limited or excluded under applicable consumer law.

1. About Us

TOF Software specialises in the electronic sale and distribution of software licences and other digital products.

Where stated, products are supplied as an approved reseller or through authorised distribution channels.

Individual software products may also be subject to licence terms or End User Licence Agreements ("EULAs") imposed by the relevant software publisher.

2. Our Products

Most products sold through TOF Software are digital products and are supplied electronically.

Depending on the product, you may receive:

  • A software activation key;

  • A digital licence;

  • Account activation instructions;

  • A download link;

  • Subscription information; or

  • Another form of electronic entitlement.

Unless expressly stated otherwise on the product page, purchasing software from TOF Software does not give you ownership of the software itself.

You are purchasing the right to use the software subject to the licence conditions imposed by the relevant software publisher.

3. Product Information

We make reasonable efforts to ensure that product descriptions, prices, licence durations, supported devices and system requirements are accurate.

You are responsible for reviewing the product description and compatibility information before purchasing.

Where a product has particular restrictions, such as geographical activation restrictions, operating-system requirements, device limits or licence-duration restrictions, these will be stated where reasonably practicable.

If you are uncertain whether a product is suitable for you, please contact us before purchasing.

4. Placing an Order

When you place an order, you are making an offer to purchase the selected product.

An automated order acknowledgement does not necessarily mean that we have accepted your order.

A contract between you and TOF Software is formed when we accept the order and begin fulfilment or otherwise confirm acceptance.

We reserve the right to reject or cancel an order before fulfilment where reasonably necessary, including where:

  • A product is unavailable;

  • A pricing or product-description error has occurred;

  • Payment has not been authorised;

  • We reasonably suspect fraud or unauthorised payment;

  • The order breaches a product's licensing or geographical restrictions; or

  • We are unable legally or contractually to supply the product.

If we cancel an order after payment has been taken but before the relevant digital product has been supplied, any amount paid for that cancelled order will be refunded.

5. Prices and Payment

Prices will be displayed on the website at the time of purchase.

Where applicable, prices include VAT unless otherwise stated.

You must provide accurate billing and payment information.

Payment must be successfully authorised before an order is supplied unless we have expressly agreed otherwise.

6. Digital Delivery

Unless otherwise stated, products sold through TOF Software are delivered electronically and no physical item will be posted.

Delivery may be made by email, customer account, on-screen fulfilment, activation through a software publisher or another electronic method.

Most orders are expected to be supplied promptly, although some orders may require manual processing or fraud-prevention checks.

7. Immediate Supply of Digital Content and Cancellation Rights

Consumers normally have cancellation rights in relation to distance contracts.

Different rules apply where digital content is supplied immediately.

Where applicable, before we begin supplying digital content during the statutory cancellation period, we will ask you to:

  1. Expressly consent to the supply of the digital content beginning immediately; and

  2. Acknowledge that you will lose your statutory right to cancel once supply of that digital content begins.

Where you provide this consent and acknowledgement and digital supply has begun, you will no longer have the statutory right to cancel that digital-content purchase simply because you have changed your mind.

If digital supply has not yet begun, your statutory cancellation rights may still apply.

Nothing in this section removes your rights where digital content is faulty, not as described, not of satisfactory quality or otherwise fails to comply with applicable consumer law.

8. Software Licences and Activation Keys

Software licences are intended for use in accordance with the terms imposed by the relevant software publisher.

You must not:

  • Resell a licence where resale is prohibited;

  • Attempt to duplicate or generate additional activation keys;

  • Circumvent licensing or activation systems;

  • Use a licence outside any applicable geographical restrictions;

  • Use a licence on more devices than permitted; or

  • Otherwise use the software in breach of the publisher's licence terms.

We are not responsible for suspension or termination caused by use of software in breach of the applicable publisher's licence terms.

9. Third-Party Software

Software supplied by TOF Software may be developed, hosted, activated and supported partly or entirely by third-party publishers.

Those publishers may require you to:

  • Create an account;

  • Accept an EULA;

  • Accept privacy terms;

  • Install updates;

  • Meet minimum system requirements; or

  • Maintain an internet connection for activation or other functionality.

The software publisher's EULA governs your permitted use of its software.

These Terms govern the transaction between you and TOF Software and do not replace your statutory rights against us as the retailer where those rights apply.

10. Faulty or Non-Conforming Digital Content

Digital content supplied to consumers must comply with applicable consumer law.

If the digital content supplied by us is faulty, not as described or otherwise does not conform to your statutory rights, please contact us.

Depending on the circumstances and applicable law, you may be entitled to remedies including repair, replacement, a price reduction or refund.

We may reasonably ask you to provide information about the fault, error message, device or activation attempt so that we can investigate the issue.

11. Incorrect Purchases

Customers should check product descriptions, licence periods, supported platforms, operating systems and other compatibility requirements before completing a purchase.

Where digital content has already been supplied following the required consent and acknowledgement, we are not normally required to provide a refund solely because:

  • You changed your mind;

  • You purchased the wrong product;

  • Your device does not meet clearly stated system requirements; or

  • You no longer require the product.

This does not affect any statutory rights you may have.

12. Fraud and Misuse

We may delay fulfilment while conducting reasonable fraud-prevention checks.

We may cancel an order where we reasonably believe that:

  • Payment is unauthorised;

  • Payment information has been obtained fraudulently;

  • The order involves attempted misuse of software licences;

  • The transaction breaches applicable law; or

  • Fulfilment would expose TOF Software, its suppliers or software publishers to fraud or abuse.

Where appropriate, suspicious transactions may be reported to the relevant payment provider or authorities.

13. Your Account

If our website allows customer accounts, you are responsible for maintaining the confidentiality of your login credentials.

You must notify us if you reasonably believe your account has been compromised.

14. Availability of the Website

We aim to keep our website available but cannot guarantee uninterrupted access.

We may temporarily restrict access for maintenance, security, technical changes or circumstances outside our reasonable control.

15. Liability

Nothing in these Terms excludes or restricts liability where doing so would be unlawful.

In particular, nothing in these Terms limits your statutory consumer rights or excludes liability that cannot legally be excluded.

We are not responsible for losses caused solely by circumstances outside our reasonable control where permitted by law.

If you are purchasing as a consumer, we are responsible for losses that are a foreseeable consequence of our breach of these Terms or our failure to use reasonable care and skill, subject to applicable law.

We are not responsible for business losses suffered by consumers where the product was purchased wholly for personal use.

16. Business Customers

If you purchase products wholly or mainly for business purposes, different legal rights may apply to your transaction.

Nothing in these Terms excludes any liability that cannot lawfully be excluded.

17. Promotions and Discount Codes

Promotions and discount codes may be subject to additional conditions.

Unless expressly stated otherwise:

  • Discounts cannot be exchanged for cash;

  • Promotions may have an expiry date;

  • Only one promotional code may be permitted per order; and

  • We may withdraw a promotion where there has been an obvious error, fraud or misuse.

18. Changes to These Terms

We may update these Terms from time to time.

The Terms applying to an order will generally be those presented to you when that order was placed.

Any updated Terms will apply to subsequent orders from their effective date.

20. Governing Law

If you are a consumer, these Terms and your purchase are governed by applicable UK law, and you retain any rights you have to bring proceedings in the courts applicable to the part of the United Kingdom in which you live.

If you are purchasing wholly for business purposes, the contract will be governed by the laws of England and Wales and, unless otherwise required by law, the courts of England and Wales will have jurisdiction.
